1.التعريفات

Definitions

• AortaOS («المنصّة»): نظام سحابي لإدارة مراكز التجميل والعيادات يُقدَّم عبر اشتراكات مدفوعة.
• المسوّق/الشريك («أنت»): الفرد أو الشركة المُسجَّل في البرنامج بعد الموافقة.
• المركز المُحال: عيادة اشتركت في AortaOS عبر رابط أو رمز إحالتك.
• العمولة: نسبة تستحقها من كل دفعة اشتراك ناجحة من المركز المُحال.
• الرصيد المعلّق: عمولات لم تنقضِ فترة أمانها بعد. الرصيد المتاح: عمولات أصبحت قابلة للسحب.
• العملة: جميع المبالغ بالدولار الأمريكي (USD).

English ▾

• AortaOS ("the Platform"): a cloud system for managing beauty centers/clinics, offered via paid subscriptions.
• Affiliate/Partner ("you"): the individual or company registered in and approved for the Program.
• Referred Clinic: a clinic that subscribed to AortaOS through your referral link or code.
• Commission: a percentage you earn on each successful subscription payment by a Referred Clinic.
• Pending balance: commissions still within the clearing window. Available balance: commissions that became withdrawable.
• Currency: all amounts are in US Dollars (USD).

2.الأهلية والتسجيل

Eligibility & Registration

• يُشترط بلوغك سنّ الرشد القانوني (18 عاماً أو أكثر) وأهليتك للتعاقد، أو أن تكون شركة مسجّلة رسمياً ومخوّلاً بإلزامها.
• تقدّم معلومات صحيحة وكاملة ومحدَّثة، وتتحمّل وحدك مسؤولية صحّتها.
• حساب واحد فقط لكل مسوّق؛ يُحظر تعدد الحسابات أو الحسابات الوهمية.
• التسجيل ذاتي ويخضع لموافقة AortaOS قبل التفعيل، وقد تطلب توثيق هوية (KYC) أو مستندات قبل الموافقة أو الصرف.
• يجب ألا تكون مقيماً في دولة خاضعة لعقوبات أو مدرجاً على قوائم الحظر؛ ويجوز رفض/تعليق الصرف امتثالاً للعقوبات ومكافحة غسل الأموال.

• You must be of legal age (18+) and able to contract, or a duly registered company you are authorized to bind.
• You provide accurate, complete, and current information and are solely responsible for it.
• One account per affiliate; multiple or fake accounts are prohibited.
• Registration is self-service and subject to AortaOS approval; identity verification (KYC) or documents may be required before approval or payout.
• You must not be in a sanctioned country or on a denied-party list; payout may be refused/withheld to comply with sanctions and AML.

3.كيف يعمل البرنامج والإحالة

How It Works & Attribution

• بعد الموافقة تحصل على رابط/رمز إحالة فريد للترويج لـ AortaOS.
• تُسجَّل الإحالة عبر كوكي لمدّة 30 يوماً تقريباً («نافذة الإحالة»).
• يُنسَب كل مركز مُحال إلى مسوّق واحد فقط، وهو الأول الذي تمّت إليه الإحالة.
• تُحتسَب الإحالة عند الاشتراك الفعلي للمركز فقط، وليس بمجرّد النقر أو إنشاء حساب تجريبي.
• قد تتأثّر دقّة التتبّع بحذف الكوكيز أو اختلاف الأجهزة أو أدوات الحجب، ولا تتحمّل AortaOS مسؤولية ما يتعذّر تتبّعه. وتُعدّ سجلات نظام التتبّع لدى AortaOS هي المرجع المعتمد.

• After approval you receive a unique referral link/code to promote AortaOS.
• A referral is recorded via a cookie lasting ~30 days (the "attribution window").
• Each Referred Clinic is credited to only one affiliate — the first attributed.
• A referral counts only on the clinic's actual subscription, not a mere click or trial.
• Tracking may be affected by cleared cookies, different devices, or blockers; AortaOS isn't liable for untrackable referrals. AortaOS's tracking records are the controlling reference.

4.العمولات

Commissions

• العمولة متدرّجة حسب عدد إحالاتك النشطة: تبدأ من 10% (برونزي)، وترتفع إلى 15% (فضي عند 5 إحالات نشطة)، وتصل إلى 20% (ذهبي عند 15 إحالة نشطة). وقد تُخصَّص لك نسبة مختلفة من الإدارة.
• كلما زاد عدد عيادتك المُحالة النشطة ترتفع فئتك تلقائياً وتزيد نسبتك — وتُطبَّق الفئة الأعلى على العمولات اللاحقة.
• العمولة متكرّرة طوال بقاء اشتراك المركز نشطاً (Lifetime)، ما لم تُحدَّد لك مدّة ثابتة بعدد أشهر.
• تُحتسَب على الدفعات الناجحة والمُحصَّلة فعلاً فقط؛ ولا تُستحَق على الفترات التجريبية أو الفواتير غير المدفوعة أو الخصومات التي تُصفّر المبلغ.
• قد تُحسَب على صافي المبلغ المُحصَّل وقد تُستثنى الضرائب ورسوم مزوّد الدفع.
• يجوز لـ AortaOS تعديل النِّسب مستقبلاً بإشعار، دون المساس بالعمولات المستحقّة فعلاً قبل التعديل.

English ▾

• The rate is tiered by your active referrals: starts at 10% (Bronze), rises to 15% (Silver at 5 active referrals), and reaches 20% (Gold at 15 active referrals). A different rate may be assigned to you.
• As your number of active referred clinics grows, your tier and rate increase automatically — the higher tier applies to subsequent commissions.
• Commission recurs for the clinic's active subscription lifetime, unless a fixed number of months is set for you.
• Earned only on successful, actually-collected payments; not on trials, unpaid invoices, or discounts that zero the amount.
• It may be computed on the net collected amount and may exclude taxes and payment-provider fees.
• AortaOS may change rates prospectively with notice, without affecting commissions already earned before the change.

5.فترة الأمان والاسترداد

Clearing & Clawbacks

• تبقى كل عمولة «معلّقة» قبل أن تصبح «متاحة» للسحب — المدّة تبدأ من 30 يوماً وتقصر مع ارتفاع فئتك (21 يوماً للفضي، 14 يوماً للذهبي)، لتغطية احتمالات الاسترداد.
• عند استرداد دفعة المركز أو ردّها (Chargeback) أو اكتشاف احتيال، تُعكَس العمولة المرتبطة بها وتُلغى.
• يسري الاسترداد على العمولات المعلّقة والمتاحة على حدٍّ سواء.
• ترتيب الخصم: من الرصيد المعلّق، ثم المتاح، ثم من عمولاتك المستقبلية؛ وإن لم تكفِ، يُصبح الفرق ديناً عليك يجوز لـ AortaOS استرداده.
• إن دُفِعت لك عمولة ثم تبيّن موجب استردادها، يجوز خصمها من مستحقاتك اللاحقة أو مطالبتك بها مباشرةً.

English ▾

• Each commission stays "Pending" before becoming "Available" — starting at 30 days and shortening with your tier (21 days Silver, 14 days Gold), to cover refunds.
• On refund, chargeback, or fraud, the related commission is reversed and cancelled.
• Clawback applies to both Pending and Available commissions.
• Deduction order: from Pending, then Available, then future commissions; if insufficient, the difference becomes a debt AortaOS may recover.
• If a commission was already paid then found reversible, it may be offset against future dues or claimed directly.

6.الدفعات والسحب

Payouts & Withdrawals

• تزوّد AortaOS ببيانات دفع صحيحة: حساب بنكي أو بريد PayPal.
• الحدّ الأدنى للسحب يبدأ من 50 دولاراً ويقلّ مع ارتفاع فئتك (25$ للفضي، 10$ للذهبي)، وتُقدَّم طلبات السحب عبر المنصّة وتُعالَج يدوياً.
• قد تُخصَم رسوم التحويل البنكي أو رسوم PayPal وفروقات صرف العملات من مبلغ السحب.
• أنت وحدك مسؤول عن صحّة بيانات الدفع، ولا تتحمّل AortaOS مسؤولية أي تحويل خاطئ بسببها.
• تستطيع الاطّلاع على إحالاتك وعمولاتك وحالتها وسجل مدفوعاتك من لوحتك، ولك مراجعة أي تباين خلال مدّة معقولة.

English ▾

• Provide accurate payout details: a bank account or PayPal email.
• Minimum withdrawal starts at $50 and decreases with your tier ($25 Silver, $10 Gold); requests are submitted on the Platform and processed manually.
• Bank/PayPal fees and currency-exchange differences may be deducted from the withdrawal.
• You alone are responsible for correct payout details; AortaOS isn't liable for misdirected transfers caused by them.
• You can view your referrals, commissions, statuses, and payout history in your dashboard, and may dispute discrepancies within a reasonable period.

7.التزامات المسوّق

Affiliate Obligations

• تروّج لـ AortaOS بطرق مشروعة وأخلاقية ومتوافقة مع القوانين.
• تقدّم المنصّة وأسعارها بصدق ودقّة دون مبالغة أو وعود لا تستطيع المنصّة الوفاء بها.
• تُفصِح بوضوح عن كونك مسوّقاً تحصل على عمولة حيثما يقتضي القانون أو الممارسة السليمة.
• لا تقدّم أي مشورة طبية أو ادّعاءات علاجية باسم AortaOS؛ فهي نظام إداري وليست جهة طبية.
• تتحمّل تكاليف ونتائج أنشطتك الترويجية، وتتعاون مع AortaOS في أي تحقيق معقول.

English ▾

• Promote AortaOS lawfully, ethically, and in compliance with the law.
• Represent the Platform and pricing honestly, without exaggeration or unfulfillable promises.
• Clearly disclose that you are a commissioned affiliate where law or good practice requires.
• Give no medical advice or therapeutic claims in AortaOS's name; it is an administrative system, not a medical provider.
• Bear the costs/outcomes of your promotion and cooperate with any reasonable AortaOS investigation.

8.السلوكيات المحظورة

Prohibited Conduct

• الاحتيال بكل صوره والتلاعب بنظام التتبّع أو احتساب العمولات.
• الإحالة الذاتية أو إحالة كيانات تملكها أو تسيطر عليها أو تربطك بها صلة (الأقارب أو الكيانات تحت سيطرة مشتركة) بهدف العمولة.
• التسجيلات الوهمية والحسابات المزيّفة، والرسائل المزعجة غير المطلوبة (Spam) عبر البريد أو الرسائل أو واتساب بما يخالف القانون.
• حشو الكوكيز، والمزايدة على الكلمات المفتاحية لعلامة AortaOS أو ما يشابهها.
• انتحال صفة AortaOS أو ممثّليها، وإساءة استخدام العلامة، والادّعاءات الكاذبة أو المضلِّلة. وأي انتهاك قد يؤدي إلى إلغاء العمولات وتعليق الحساب أو إنهائه والمطالبة بالتعويض.

• Fraud in all forms and manipulation of tracking or commission calculation.
• Self-referral, or referring entities you own, control, or are related to (family or commonly-controlled entities) to earn commission.
• Fake signups/accounts, and unsolicited spam via email, SMS, or WhatsApp in violation of law.
• Cookie stuffing, and bidding on AortaOS brand keywords or close variants.
• Impersonating AortaOS or its representatives, brand misuse, and false/misleading claims. Any violation may cancel commissions, suspend/terminate the account, and trigger a damages claim.

9.الموافقة والتعليق والإنهاء

Approval, Suspension & Termination

• يخضع كل حساب لمراجعة AortaOS التي قد تقبله أو ترفضه، ويجوز لها تعليقه أو إنهاؤه بتقدير معقول مع إشعار قدر الإمكان.
• في حالات الاحتيال أو المخالفة الجوهرية يجوز الإنهاء الفوري دون إشعار مسبق.
• للمخالفات البسيطة غير الاحتيالية يُمنح إشعار ومهلة معقولة للتصحيح قبل الإنهاء.
• عند الإنهاء بدون سبب من جانبك: يُصرَف الرصيد المتاح وفق شروط السحب، وتخضع العمولات المعلّقة لفترة الأمان قبل صرفها.
• عند الإنهاء بسبب احتيال أو مخالفة جوهرية: يجوز إلغاء جميع العمولات المعلّقة والمتاحة. وتتوقّف العمولات المستقبلية فور الإنهاء.

English ▾

• Each account is reviewed by AortaOS, which may accept/reject it and may suspend/terminate at reasonable discretion with notice where feasible.
• For fraud or material breach, termination may be immediate without prior notice.
• For minor, non-fraud breaches, notice and a reasonable cure period are given before termination.
• On termination without your fault: Available balance is paid per withdrawal terms, and Pending commissions clear first.
• On termination for fraud/material breach: all Pending and Available commissions may be cancelled. Future commissions stop immediately.

10.الضرائب

Taxes

• أنت وحدك المسؤول عن جميع الضرائب والرسوم والزكاة المترتّبة على عمولاتك وفق قوانين بلدك.
• المبالغ مذكورة إجمالاً قبل أي ضرائب قد تترتّب عليك.
• عند وجود التزام قانوني على AortaOS بحجب ضريبة عند المنبع، يجوز خصمها وتوريدها وفق القانون.
• تزوّد AortaOS بأي مستندات ضريبية مطلوبة قانوناً عند الطلب.

• You are solely responsible for all taxes, fees, and zakat on your commissions under your country's laws.
• Amounts are stated gross of any taxes you may owe.
• Where AortaOS is legally required to apply withholding tax, it may deduct and remit it per law.
• You provide any legally required tax documents on request.

11.السرية وحماية البيانات

Confidentiality & Data Protection

• تحافظ على سرّية أي معلومات غير علنية تخصّ AortaOS ولا تستخدمها لغير أغراض البرنامج.
• تعالج أي بيانات شخصية للعملاء بشكل مشروع وعادل وآمن وبما يتوافق مع أنظمة حماية البيانات المعمول بها في المنطقة (PDPL حيثما انطبقت).
• لا تجمع أو تشارك بيانات دون أساس قانوني (مثل الموافقة)، ولا ترسل اتصالات تسويقية مخالفة للقانون.
• تُخطِر AortaOS دون تأخير عند أي خرق بيانات يتعلّق بأنشطتك. وتبقى التزامات السرّية سارية بعد انتهاء المشاركة.

English ▾

• Keep AortaOS non-public information confidential and use it only for the Program.
• Process any personal data lawfully, fairly, and securely, in line with applicable regional data-protection laws (PDPL where applicable).
• Don't collect/share data without a legal basis (e.g., consent), nor send unlawful marketing.
• Notify AortaOS without delay of any data breach related to your activity. Confidentiality survives termination.

12.الملكية الفكرية واستخدام العلامة

IP & Brand Use

• جميع حقوق الملكية الفكرية في AortaOS (الاسم، الشعار، العلامات، المحتوى) ملك حصري لها.
• تمنحك AortaOS ترخيصاً محدوداً غير حصري قابلاً للإلغاء لاستخدام موادها للترويج للبرنامج فقط، وفق إرشادات العلامة.
• يُحظر تعديل الشعار أو المواد أو استخدامها بما يوحي بشراكة أو تأييد غير قائمين.
• لا تكتسب أي ملكية في العلامة، وينتهي الترخيص فوراً بانتهاء مشاركتك وتتوقّف عن استخدام المواد.

English ▾

• All IP in AortaOS (name, logo, marks, content) is its exclusive property.
• AortaOS grants a limited, non-exclusive, revocable license to use its materials solely to promote the Program, per brand guidelines.
• Modifying the logo/materials or implying a non-existent partnership/endorsement is prohibited.
• You gain no ownership in the brand; the license ends immediately when your participation ends.

13.إخلاء المسؤولية وحدود المسؤولية

Disclaimers & Liability

• يُقدَّم البرنامج «كما هو» دون ضمان استمراره أو خلوّه من الأعطال.
• لا تضمن AortaOS أي حدّ أدنى من الإحالات أو العمولات أو الأرباح؛ والأمثلة توضيحية وليست وعداً.
• ضمن حدود القانون، لا تتحمّل AortaOS الأضرار غير المباشرة أو التبعية أو فوات الكسب.
• تقتصر مسؤولية AortaOS الإجمالية على إجمالي عمولاتك المتاحة وغير المدفوعة وقت نشوء المطالبة.

English ▾

• The Program is provided "as is" without warranty of continuity or freedom from faults.
• AortaOS guarantees no minimum referrals, commissions, or earnings; examples are illustrative, not a promise.
• To the extent permitted by law, AortaOS isn't liable for indirect/consequential damages or lost profit.
• AortaOS's total liability is limited to your Available, unpaid commissions at the time the claim arose.

14.العلاقة المستقلة والتعويض

Independent Relationship & Indemnity

• علاقتك بـ AortaOS هي علاقة مقاول مستقل؛ ولا تنشئ هذه الاتفاقية أي توظيف أو وكالة أو شراكة، ولا تملك صلاحية إلزام AortaOS.
• تعوّض AortaOS وتدفع عنها أي مطالبات أو أضرار تنشأ عن مخالفتك لهذه الشروط أو القانون أو حقوق الغير أو أنشطتك الترويجية.
• تظلّ بنود الاسترداد والتعويض والسرّية والضرائب وتسوية النزاعات سارية بعد انتهاء الاتفاقية.

English ▾

• You are an independent contractor; this agreement creates no employment, agency, or partnership, and you cannot bind AortaOS.
• You indemnify AortaOS against claims/damages arising from your breach of these terms, the law, third-party rights, or your promotion.
• Clawback, indemnity, confidentiality, tax, and dispute-resolution clauses survive termination.

15.تعديل الشروط

Modifications

• يجوز لـ AortaOS تحديث هذه الشروط أو معايير البرنامج (النِّسب، المدد، الحدود) من وقت لآخر.
• تُنشَر النسخة المحدَّثة مع رقم إصدار وتاريخ، وتسري من تاريخ نشرها.
• استمرارك في المشاركة بعد سريان التعديل يُعدّ قبولاً له، ولا تُطبَّق التغييرات بأثر رجعي على عمولات استُحِقّت فعلاً.
• إن لم توافق على التعديلات يحقّ لك إنهاء مشاركتك.

English ▾

• AortaOS may update these terms or Program parameters (rates, durations, thresholds) from time to time.
• The updated version is published with a version number and date and takes effect from publication.
• Continued participation after the change is acceptance; changes don't apply retroactively to already-earned commissions.
• If you don't agree, you may terminate your participation.

16.القانون الحاكم وتسوية النزاعات

Governing Law & Disputes

• يسعى الطرفان لحلّ أي نزاع ودّياً بحُسن نية خلال مدّة معقولة أولاً.
• عند تعذّر الحلّ الودّي، يُحال النزاع إلى الجهة المختصّة (المحاكم أو التحكيم) التي تحدّدها AortaOS وفق القانون الحاكم المعمول به.
• لا يمنع ذلك AortaOS من طلب إجراءات تحفّظية عاجلة لحماية حقوقها.
• إذا بطل أي بند تبقى بقيّة البنود سارية، ويُعتمَد النص العربي عند أي تعارض في التفسير.

English ▾

• The parties first seek to resolve disputes amicably and in good faith within a reasonable time.
• If unresolved, the dispute goes to the competent venue (courts or arbitration) specified by AortaOS under the applicable governing law.
• This doesn't prevent AortaOS from seeking urgent interim relief to protect its rights.
• If any clause is invalid, the rest remain in force; the Arabic text prevails on any interpretation conflict.

17.الإقرار والموافقة

Acceptance

• بتسجيلك في البرنامج و/أو استخدام رابط الإحالة، تقرّ بأنك قرأت هذه الشروط وفهمتها ووافقت عليها بالكامل.
• تقرّ بأنك مخوّل قانوناً بالموافقة (أصالةً عن نفسك أو نيابةً عن شركتك).
• تشكّل هذه الشروط مع أي سياسات مُشار إليها الاتفاقية الكاملة بينك وبين AortaOS بخصوص البرنامج.

English ▾

• By registering and/or using your referral link, you confirm you have read, understood, and fully agree to these terms.
• You confirm you are legally authorized to accept (for yourself or on behalf of your company).
• These terms, with any referenced policies, are the entire agreement between you and AortaOS for the Program.
